Terms and Conditions

You must read and agree with all of the terms and conditions contained within this document.

This agreement contains the complete terms and conditions that apply to an individual's or organisation's participation in the Affiliate Program (the "Program").

Qualification

You must submit a completed application form here after reading all the terms. Acceptance of you submission is solely at our discretion. Unsuitable websites will be rejected. These include, and are not limited to, those that have:

• Content that is regarded as possibly bringing our site into disrepute.
• Content that is in any way unlawful or in breach of intellectual property rights.
• Content that may be deemed harmful, threatening, defamatory, obscene or indecent, harassing, or discriminatory on the grounds of disability, race, sex, ethnicity, sexual orientation, age, or otherwise objectionable in any other manner.

If your application is accepted and your website is thereafter determined (at our absolute discretion) to be unsuitable for the Program, we may terminate this Agreement.

Possible reasons for cancellation include

• Sending unsolicited bulk email (SPAM) to try to promote links to our site.

Links from Your Website

As an affiliate we will provide you with links, logos and content description to enable you to provide potential customers to our site. These links will identify you to us to enable commission to be calculated. Any referral to our site must come from a page on your site. This enables us to reject referrals where unsolicted emails have been sent containing our site's address. We will track sales made to customers who apply using Links from your website to our website and will provide online reports summarising hits, sign ups, conversions and payment.

Commission

• follow a Link from your website to our website and sign on for one of our services using our online application system.
• make payment to us either at the time of joining or when their free trial period expires.
• not contest or claim back payment within 60 days of the payment period.

• We will not pay commission on any Products purchased from any other website operated by any affiliates we use such as Amazon etc.
• We will not pay commission for use of one of our services should you decide to use it yourself.

Operation

When a link to our site is made and a client signs up for one of our services we may elect to offer a trial period. The free trial period may vary at our discretion. Should a client sign up at the end of the free trial you will be entitled to the commission.

We will endeavor to track, by the use of cookies, customers who return to our site to use our service without again following the link from your site. Any sign ups made on a return visit within a period of 90 days will be eligible to earn commission.

If having come you our site form yours and the potential customer does not sign on at that time then we can accept no responsibility and there will be no obligation to pay if the customer :-

• chooses not to accept our cookie. However any immediate sign up will be credited to you even if cookies are refused.
• makes a return visit from a different machine in order to sign up or if for any other reason we are not able to identify the customer as having previously followed a link from your site to our site.
• follows a link from your site to our site and subsequently follows a link from another affiliate's site to our site before subscribing. The affiliate whose link has most recently been followed only will be eligible to earn the commission.

We will not be required to pay more than one commission payment on any transaction. You will not be entitled to any compensation of any kind for the sale of any products other than as set out in this Agreement.

Commission Schedule

You will earn commission based on "Net Sales" made as a result of referrals from you according to commission schedules established by us as detailed below.

• You will be entitled to 50% of the initial annual sign on fee (net of any sales tax) for any new property advertised.
• You will be entitled to a percentage of any new services we add. Such percentage to be notified at the time of introduction.

Any commission will become due after payment is received by us and 60 days have elapsed to allow for the possibility of chargebacks.

Payments

We will pay you commissions initially on a quarterly basis. We will send you payment for the commissions earned as outlined in your sales report. However, if the commission payable to you for any month is less than 80 dollars/ 80 Euros or 50 UK pounds then we will hold those commissions until the total amount due is at least the said amount or this agreement is terminated.

All payments we make will not have any tax deducted. By entering this agreement you agree that will be solely responsible for any tax or other payments arising from commissions payable under this agreement and we have no liability for any such tax or other payments.

All payments will be made by cheque in UK pounds. Additional payment methods will be considered upon request.

Your Website

You hereby agree that your website will not, in any way, copy or resemble the look and feel of our website, nor will you create the impression that your website is part of our website.

Termination of the Agreement

The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination.

Should you teminate this agreement you will only be eligible for commissions on any clients who have already paid us upto and including the termination date. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid to us without any chargebacks.

Modification of the Terms of the Agreement

We may modify any of the terms and conditions contained in this Agreement, at any time and at our absolute discretion. You will be notified by e-mail, and a change notice or a new agreement will be posted on our website. Modifications may include, but are not limited to, additional services, changes in the scope of available commission, fee schedules, payment procedures and general rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the Program following our e-mail and posting of a change notice or new agreement on our website will constitute binding acceptance of the change.

Relationship of Parties

You, the affiliate, and we are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties or our respective affiliates. You will have no authority to make or accept any offers or representations, guarantees or warranties on ibehalf of our or any other affiliate we use, including any of ur our Products or services. You will not make any statement or representation, whether on your website or otherwise, that you are connected or affiliated with our website or our organization other than for the purpose of referring users to our website as intended by this Agreement.

Disclaimer

Neither we nor any of our affiliates makes any express or implied warranties or representations with respect to the Program or any Services sold through the Program. In addition, neither we nor our affiliates makes any representation that the operation of our website will be uninterrupted or error-free and none of us will be liable for the consequences of any interruptions or errors.

Agreement

You hereby represent and warrant to us as follows:

• You acknowledge that you have read this agreement and agree to all its terms and conditions.
• You have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
• You understand that we or any of our affiliates may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement.
• The execution, delivery, and performance by you of this Agreement and the undertaking by you of the transactions contemplated hereby does not, with or without the giving of notice, the lapse of time, or both, conflict with or violate
  1. any provision of law, rule, or regulation to which you are subject,
  2. any order, judgement, or decree applicable to you or binding upon your assets or properties,
  3. any provision of your by-laws or certificate of incorporation, or
  4. You are an adult of at least 18 years of age.

Indemnity

The User agrees to indemnify, defend and hold harmless this website, its affiliate's, employees, agents and any third party conducting business with and through www.villa-vacation.com, or any of its associated websites, from any and all claims, liability, damages and/or costs and expenses (including without limitation all legal costs) arising from your use of the Services or Software, or from your violation of the Terms.

Governing Law

The laws of the United Kingdom applicable therein shall govern as to the interpretation, validity and effect of this Agreement notwithstanding any conflict of laws provisions or the User's domicile, residence, or physical location or the domicile, residence, or physical location of any equipment, machines or technology used to access the data produced by the www.hostcompanies.com website. The User hereby consents, agrees and submits to the non-exclusive jurisdiction of the courts of the United Kingdom in any action or proceeding instituted under or related to this Agreement.
